By accessing, browsing, or using the services provided by HostSpica ("Company," "we," "us," or "our"), you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), including our Privacy Policy, Refund Policy, and Cookie Policy.
If you do not agree to these Terms, you must immediately cease using our services. Your continued use of our services constitutes acceptance of any modifications to these Terms.
HostSpica provides software development services including but not limited to:
We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of services.
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that:
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
All projects are governed by a separate Statement of Work (SOW) or Project Agreement that defines:
Any work outside the agreed scope will be considered additional work and will be subject to separate quotation and agreement. We are not obligated to perform any work not explicitly defined in the SOW.
You agree to:
Delays caused by your failure to meet these responsibilities may result in project timeline extensions and additional charges. We are not liable for delays caused by your actions or inactions.
6.1 Pricing: All prices are quoted in Indian Rupees (INR) or US Dollars (USD) as specified in the agreement. Prices are subject to change with 30 days' notice for ongoing services.
6.2 Payment Schedule: Unless otherwise agreed, payments are structured as follows:
6.3 Late Payments: Invoices are due within 7 days of issuance unless otherwise specified. Late payments will incur a 2% monthly interest charge. We reserve the right to suspend services for accounts with overdue payments exceeding 15 days.
6.4 Taxes: All fees are exclusive of applicable taxes, duties, and levies. You are responsible for all taxes except those based on our net income.
6.5 Payment Methods: We accept bank transfers, credit cards, PayPal, and other payment methods as agreed. Payment processing fees may apply.
7.1 Our IP: All intellectual property rights in our pre-existing materials, frameworks, tools, methodologies, and know-how remain our exclusive property. This includes but is not limited to:
7.2 Client IP: Upon full payment, you own the intellectual property rights to the custom work created specifically for your project, excluding our pre-existing materials.
7.3 Third-Party IP: Any third-party software, libraries, or components used in your project are subject to their respective licenses. You are responsible for compliance with such licenses.
7.4 Portfolio Rights: We reserve the right to use your project in our portfolio, case studies, and marketing materials unless you explicitly request confidentiality in writing.
Both parties agree to maintain confidentiality of all proprietary and confidential information disclosed during the engagement. This obligation survives termination of the agreement for a period of 3 years.
Confidential information does not include information that: (a) is publicly available, (b) was known prior to disclosure, (c) is independently developed, or (d) is required to be disclosed by law.

We do not warrant that services will be uninterrupted, error-free, or meet your specific requirements. We are not responsible for third-party services, hosting, or infrastructure issues beyond our control.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
You agree to indemnify, defend, and hold harmless HostSpica, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of our services, (b) your violation of these Terms, (c) your violation of any rights of another party, (d) content or materials you provide, or (e) your negligence or willful misconduct.
12.1 Term: These Terms remain in effect until terminated by either party.
12.2 Termination by You: You may terminate with 30 days' written notice. You remain liable for all fees incurred up to the termination date.
12.3 Termination by Us: We may terminate immediately if you: (a) breach these Terms, (b) fail to make payments, (c) engage in fraudulent or illegal activities, or (d) damage our reputation.
12.4 Effect of Termination: Upon termination, you must pay all outstanding fees. We may retain your data for legal compliance. Sections that by their nature should survive will survive termination.
Neither party shall be liable for failure to perform due to causes beyond reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
14.1 Negotiation: Parties agree to attempt to resolve disputes through good-faith negotiation for 30 days.
14.2 Arbitration: If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.
14.3 Jurisdiction: These Terms shall be governed by the laws of India. The courts of [Your City], India shall have exclusive jurisdiction.
15.1 Entire Agreement: These Terms constitute the entire agreement and supersede all prior agreements.
15.2 Amendments: We may modify these Terms at any time. Continued use after changes constitutes acceptance.
15.3 Severability: If any provision is invalid, the remaining provisions remain in effect.
15.4 Waiver: Failure to enforce any right does not constitute a waiver.
15.5 Assignment: You may not assign these Terms without our written consent. We may assign without restriction.
